Rocknetz Systems Private Limited owns and operates all ZeroFootprint products & services including website (“zerofootprint.in”), which will be referred to as(“ZeroFootprint”, “zerofootprint.in”, “we”, “our”, and “us”) in this Terms & Conditions. Please read these Terms and Conditions of Use (the “Terms of use” or “Agreement”) carefully before using this website. By using any of the websites, goods or services associated with ZeroFootprint, you agree to be bound by this Agreement, including but not limited to https://www.zerofootprint.in and any other sites that link to these terms of use.

Rules of Conduct

• This Site at http://www.zerofootprint.in is fully controlled and operated by Rocknetz Systems Private Limited. By accessing or using this website, any pop-ups, internal links, any pages with the same or similar URLs, or any other website owned or operated by Rocknetz Systems Private Limited, you agree to these Terms of Use. If you do not agree to the Terms of Use, you are not authorized to use the Site and you must stop using it immediately
• We reserve the right, at our sole discretion, to change, modify or otherwise alter these Terms of Use at any time. User Content and Activities

• If you are an Rocknetz Systems Private Limited Independent Sales Representative, you acknowledge and agree that your use of Rocknetz Systems Private Limited websites is subject not only to this Terms of Use, but also to the terms and conditions contained in your Rocknetz Systems Private Limited Independent Sales Representative Agreement and the Rocknetz Systems Private Limited Privacy Policy
• Rocknetz Systems Private Limited Independent Sales Representatives are independent third party contractors of Rocknetz Systems Private Limited and are not otherwise affiliated with Rocknetz Systems Private Limited. Rocknetz Systems Private Limited is not responsible or liable for the statements, acts or omissions of an Independent Sales Representatives, whether through or in connection with Rocknetz Systems Private Limited websites, goods, services, or otherwise.
• Without limiting the foregoing, you acknowledge and agree that Rocknetz Systems Private Limited has no control over, and is not responsible or liable for, any representation, text, images, or other information or materials posted by an Independent Sales Representatives regardless of the support of such material, whether oral, written, paper, electronic, online or otherwise

• All Rocknetz Systems Private Limited Independent Sales Representatives must complete a course before they can begin their third party contract work. This training includes, notably, what representations they are allowed to make whether orally, written, electronically or online according to the laws and regulations of their particular jurisdiction. Any unlawful or prohibited representations whether orally, written, electronically, online or otherwise by an Independent Sales Representative are expressly and unequivocally prohibited by Rocknetz Systems Private Limited. Rocknetz Systems Private Limited is not responsible or liable in any way shape or form for said aforementioned representations made by an Independent Sales Representative regardless of support, form, medium, or presentation
• Subject to provisions of this Section, each Independent Sales Representative has not been advised, consulted or directed to make any type or representations whatsoever by Rocknetz Systems Private Limited
• Independent Sales representatives are not agents, employees, associates, representatives, counselors or mandatories of Rocknetz Systems Private Limited
• Each Independent Sales representative that decides to perform third party contract work with Rocknetz Systems Private Limited declares that they are permitted to perform such work in their applicable jurisdiction. Rocknetz Systems Private Limited is not responsible or liable in any way shape or form if said work is prohibited or performed in an unlawful fashion in a particular jurisdiction
• Rocknetz Systems Private Limited is not liable in anyway whatsoever if an Independent Sales representatives decides not to adhere to the laws and regulations of Europe, their applicable jurisdiction, these Terms of Use, the Privacy Policy, their Independent Sales Representative Agreement or any other bilateral agreement between Rocknetz Systems Private Limited and the Independent Sales representative

Warranties made by User

• If you are a Rocknetz Systems Private Limited website user, you acknowledge and agree that your use of Rocknetz Systems Private Limited websites is subject not only to this Terms of Use, but also to the terms and conditions contained in any agreement between you and us, and the Rocknetz Systems Private Limited Privacy Policy
• The User warrants and is fully aware that Rocknetz Systems Private Limited and Rocknetz Systems Private Limited Parties do not and cannot give investment advice, that Rocknetz Systems Private Limited is not investment venture, advisor, fund, broker-dealer or agent, that Rocknetz Systems Private Limited and Rocknetz Systems Private Limited Parties do not perform any investment transactions, and that Rocknetz Systems Private Limited websites do not give investment advice and do not advise you to buy or sell securities

  • what are Application-specific integrated circuit (ASIC) machines, cryptocurrency, digital assets, blockchain, distributed ledger technology, cryptocurrency mining, hash power, hash rates, cryptocurrency wallets, Bitcoin (BTC), Ethereum, and all other major cryptocurrencies
  • how finance, fintech, markets, accounting, and investments work; that they have done investments in the past; that they understand economics
  • How software development, programming, and coding work as well as understand different coding languages and methods
• The User warrants that
  • any information or material that they provide in connection with your use of the Rocknetz Systems Private Limited websites is true, accurate and complete, and that you will maintain and update such information as needed, such that the information remains true, accurate and complete
  • That you are at least fourteen (14) years old
  • the use of the information or material that you supply does not violate this Terms of us
  • if you have provided contact information, Rocknetz Systems Private Limited may contact you for your opinions, in connection with the business of Rocknetz Systems Private Limited and for other matters related to the operations of Rocknetz Systems Private Limited

• Rocknetz Systems Private Limited is a marketing firm that sells ASIC machines

Indemnification

• You will indemnify and hold the Rocknetz Systems Private Limited and Rocknetz Systems Private Limited Parties harmless from and against any and all claims, actions, demands, causes of action and other proceedings arising from or related to any of the following (the “Claims”)
  • your use of, inability to use, or activities in connection with the Rocknetz Systems Private Limited Websites
  • any violation of this Agreement or any other Rocknetz Systems Private Limited terms, conditions or policies by you or through any account you may have with any Rocknetz Systems Private Limited Websites
  • any business between Rocknetz Systems Private Limited, Rocknetz Systems Private Limited Parties, and User
  • any allegation that any Submission or other materials that you make available through the Rocknetz Systems Private Limited Websites infringe or otherwise violate the intellectual property, privacy, or other rights of any third party; or
  • your violation of any rights of any Rocknetz Systems Private Limited Websites visitor, user, or customer, or any other third party; and you agree to reimburse Rocknetz Systems Private Limited or Rocknetz Systems Private Limited Parties on demand for any damages, losses, costs, judgments, fees, fines and other expenses they incur (including attorneys’ fees and court costs) as a result of any Claim(s)

Representation

• Natural persons who agree to these terms of Use on behalf of legal persons declare that they are fully authorized and empowered to enter into this Contract, and that the performance of the obligations under this Contract will not violate or infringe upon the rights of any third-party, or violate any agreement between the Parties and any other person, firm or organization or any law or governmental regulation

Termination and Enforcement

• This Agreement is effective until terminated by Rocknetz Systems Private Limited
• You agree that Rocknetz Systems Private Limited, at its sole discretion, may terminate your access to or use of the Rocknetz Systems Private Limited Websites, at any time and for any reason, including without limitation if we believe that you have violated, failed to comply, or acted inconsistently with the letter or spirit of these Terms of Use
• Upon any such termination, your right to use the Rocknetz Systems Private Limited Websites will immediately cease. You agree that any termination of your access to or use of the Rocknetz Systems Private Limited Websites may be effected without prior notice and that we may immediately deactivate or delete any user name and/or password used by or provided to you, and all related information and files associated therewith, and/or bar any further access to such information or files
• You agree that Rocknetz Systems Private Limited shall not be liable to you or any third party for any termination of your access to the Rocknetz Systems Private Limited Websites or to any such information or files, and shall not be required to make such information or files available to you after any such termination

General Provisions

• Unless otherwise stated in this Agreement, the following provisions shall apply
  • Separate Undertakings The undertakings set forth in this Agreement shall be separate the one from the other and shall be interpreted as such
  • Reasonableness of the Undertakings the User recognizes that the undertakings assumed by it
    • are reasonable in all respects, including, without limitation, as to their subject matter, scope and duration, given the consideration referred to hereinabove and the operations of each of the Parties up to that time
    • are necessary in order to protect our legitimate interests
  • Judicial Reduction of the UndertakingIf a court rules that one of the provisions of this agreement is too broad, in particular, but without limitation, as regards its subject matter, scope or duration, the said court shall have the power to reduce any such subject matter, scope or duration to the maximum level the court considers reasonable rather than cancel the said provision, declare it to be unenforceable or suspend the application thereof. In such a case, the provisions in question shall be deemed to have been amended in accordance with the conclusions of the judgment rendered by the court, after the expiry of all appeal deadlines
  • Discretionary Reduction of the UndertakingWe may, at any time and at our entire discretion, reduce the object, scope or duration of any undertaking assumed in our favour by the User, cancel the said provision or suspend the application thereof. However, no presumption of fact or of law affecting the provision not contemplated by such reduction, cancellation or suspension shall be drawn from any such action on the part of the Party in question
  • Other AgreementsThis Agreement is only part of the overall contractual relationship which exists or may exist between us and the User. Accordingly, it does not contain all of the terms and conditions of such contractual relationship
  • No Defence The existence of any right, claim or recourse on the part of the User arising from any understanding other than that evidenced in this Agreement, shall not, in any manner whatsoever, be a ground of defence, contestation, opposition, set-off or cross-demand with respect to any legal proceeding instituted against the us in order to assert its rights under this Agreement
  • Severability If all or part of any section, paragraph or provision of this Agreement is held invalid or unenforceable, it shall not have any effect whatsoever on any other section, paragraph or provision of this Agreement, nor on the remainder of the said section, paragraph or provision, unless otherwise expressly provided for in this Agreement
  • Notices Any notice intended for the User shall be deemed to be validly given if it is in writing and is sent to the primary email address specified in your particular Rocknetz Systems Private Limited account or by placing a prominent notice on our site prior to the change becoming effective
  • Headings The headings in this Agreement have been inserted solely for ease of reference and shall not modify, in any manner whatsoever, the meaning or scope of the provisions hereof
  • No WaiverUnder no circumstances shall the failure, negligence or tardiness of Rocknetz Systems Private Limited as regards the exercise of a right or a recourse provided for in this Agreement be considered to be a waiver of such right or recourse.
  • Cumulative Right All rights set forth in this Agreement shall be cumulative and not alternative. The waiver of a right shall not be interpreted as the waiver of any other right
  • Entire Agreement Subject to the Privacy Policy and any other written agreement between Rocknetz Systems Private Limited and the User, this Agreement constitutes the entire understanding between the Parties. Declarations, representations, promises or conditions other than those set forth in this Agreement shall not be construed in any way so as to contradict, modify or affect the provisions of this Agreement
  • Number and Gender Where appropriate, the singular number set forth in this Agreement shall be interpreted as the plural number, and the gender shall be interpreted as masculine, feminine or neuter, as the context dictates.
  • No Right to TransferNeither of the Parties may, in any manner whatsoever, assign, transfer or convey its rights in this Agreement to any third Party, without the prior written consent of the other Party
  • Currency The currency used for purposes of this Rocknetz Systems Private Limited Websites shall be Indian Rupee
  • Governing Law This Agreement shall be construed and enforced in accordance with the laws in force in the city of Thane,Mumbai,India, to the detriment of any and all other jurisdictions
  • Election of Domicile The Parties agree to elect domicile in the judicial district of Thane,Mumbai,India, for the hearing of any claim arising with respect to the interpretation, application, performance, term, validity or effects of this Agreement, to the detriment of any and all other domiciles
  • Joint and Several Liability Whenever one of the Users is constituted of two or more persons, these persons shall be jointly and severally liable towards Rocknetz Systems Private Limited
  • Language The User has expressly agreed to consult Rocknetz Systems Private Limited websites in English and French.
